Terms of Service

The Leah Books Terms and Conditions between Leah Bookkeeping ("Company") and each business that uses Leah Books ("Client"). Clients sign this entire Agreement when they join.

Version 2026-11-0530 sectionsGoverned by Washington law

Version 2026-11-05. Effective on the date Client signs or first uses the Services.

These Terms and Conditions (the "Agreement") are a binding contract between Leah Bookkeeping, of Vancouver, Washington, together with its owners, officers, employees, contractors and agents (the "Company"), and the business, organization or person that signs up for, signs, or uses the Services (the "Client"). The individual who signs this Agreement for Client is referred to as the "Signer." By signing this Agreement, or by accessing or using any of the Services, Client agrees to be bound by every part of this Agreement. If Client does not agree, Client must not use the Services.

1. Definitions

  • "Services" means the Leah Books software and every website, application, portal, feature, report, form, calculation, reminder, email, integration and support offered by Company, and any bookkeeping, catch-up, setup or other services Company performs for Client.
  • "Client Data" means all information Client or its Users enter into, upload to, connect to, or generate with the Services, including financial, payroll, tax, employee, contractor, customer and vendor information.
  • "Users" means every person Client invites to or allows to use the Services under Client's account, including Client's owners, employees, accountants, bookkeepers and agents.
  • "Third-Party Services" means products and services not provided by Company, including Stripe, Plaid, banks, Google, Supabase, Vercel, tax agencies' systems, and any other provider the Services connect to or rely on.
  • "Fees" means all amounts Client owes Company, including subscription, per-employee, extra user, extra location, bookkeeping, catch-up and other charges, and any interest, costs and fees under this Agreement.
  • "Plan" means the subscription plan, package or quote Client selects or accepts.

2. Acceptance and authority

  • The Signer represents and warrants that the Signer is at least 18 years old, has read this entire Agreement, and has full legal authority to bind Client. If the Signer lacks that authority, the Signer is personally bound by this Agreement and personally responsible for all Fees and obligations of Client.
  • Client is responsible for every act and omission of its Users as if they were Client's own. Each User must comply with this Agreement.
  • Company's Privacy Policy, the pricing page, and any Plan, package, quote or order Client accepts are part of this Agreement. If they conflict, this Agreement controls unless Company agrees otherwise in a signed writing.

3. The Services

  • The Services are tools that help Client keep its own books and records. Client, not Company, makes all business, accounting, payroll, tax, legal, employment and financial decisions, and Client is solely responsible for them.
  • The Services include only the features in Client's Plan as they exist from time to time. Company may add, change, limit or remove features at any time. A feature described as coming soon, in testing, or not yet available is not part of the Services until Company makes it generally available.
  • Company does not move payroll money, does not pay employees by direct deposit, does not pay or file any taxes, returns or reports for Client, and is not Client's payroll tax reporting agent, unless Company expressly agrees in a separate signed writing.
  • Company is not a bank, money transmitter, payroll service provider, certified public accountant firm, enrolled agent, law firm, or fiduciary, and does not hold Client's funds.

4. Plans, fees and payment

  • Subscription. Plans are billed monthly in advance and renew automatically each month until cancelled. Client authorizes Company and its payment processor to charge Client's payment method on file for all Fees when due, without further authorization.
  • Per-employee and extra charges. Plans with payroll are also charged for each active employee in Client's books during the billing month. Extra users and extra locations are charged for each month they are kept. Changes in counts appear on the next bill.
  • Founding Member prices. The first 100 businesses on Leah Books keep the Plan prices in effect when they signed up for 2 years from their sign-up date, provided the account remains open, active and paid in full. After 2 years, Company's then-current prices apply after at least 30 days' notice. If Client cancels and later returns, current prices apply.
  • Free trials. If a Plan begins with a free trial, Fees begin when the trial ends. If no valid payment method is on file at the end of the trial, Client's books become view-only until one is added.
  • Price changes. Company may change its prices at any time by giving at least 30 days' notice. New prices apply from the next billing period after the notice period. Continued use after that date is acceptance.
  • Taxes. Fees do not include sales, use, excise or similar taxes, which Client pays in addition where required by law.
  • Payment disputes. Client agrees to raise any billing question with Company in writing before contacting its bank or card issuer. Initiating a chargeback or payment reversal for Fees that were properly charged is a breach of this Agreement, and Client is responsible for the reversed amount plus all chargeback fees and collection costs.

5. Fees are final

  • All Fees are final and non-refundable once billed, including for partial months, unused users, locations or features, downgrades, periods in which the account was not used, early cancellation, and suspension or termination for any reason permitted by this Agreement.
  • Fees are charged at the prices in effect for Client's Plan. No discounts, credits, refunds or price adjustments apply unless this Agreement or the pricing page provides for them (such as Founding Member prices and referral credits) or Company agrees in a signed writing.
  • If Company billed Client in error, Client must notify Company in writing within 60 days of the charge, and Company will correct the error. Errors not reported within 60 days are waived.
  • Catch-up and other bookkeeping work is non-refundable once work has begun.

6. Late payment and collection

  • If any Fee is not paid when due, Company may retry the charge, and after 14 days may make Client's books view-only until all overdue amounts are paid.
  • Overdue amounts accrue interest at 1.5% per month (18% per year), or the highest rate permitted by law if lower, from the due date until paid in full.
  • Client shall pay all costs of collection, including collection agency fees, reasonable attorney fees and court costs, whether or not a lawsuit is filed.
  • Client decides whether to charge its own customers late fees or finance charges and in what amount, and Client is solely responsible for ensuring those charges comply with law and with Client's agreements with its customers.

7. Term, cancellation and data after cancellation

  • This Agreement begins when Client signs it or first uses the Services, whichever is earlier, and continues until Client's account is closed and all Fees are paid.
  • Client may cancel at any time in Settings, Plan and billing. Cancellation takes effect at the end of the paid billing month. Bookkeeping packages end at the end of the current month.
  • After cancellation, Client's books remain view-only for 1 year. During that year Client may sign in to view, download and print its reports, W-2s, 1099s and tax forms, and Company may prepare and send Client's tax documents to Client. After 1 year, Company may permanently delete Client Data without further notice, except as Company is required by law to retain it. Company has no obligation to keep, restore or provide Client Data after that time.
  • Client is solely responsible for downloading and keeping its own copies of Client Data and records, including records it is required by law to keep.

8. Accounts, users and security

  • Client must keep at least one Owner or Admin with a current email address, and is responsible for who it invites, what access each User has, and removing access when a User should no longer have it.
  • Each User must use their own sign-in. Client is responsible for keeping sign-in links, email accounts, devices, accountant PINs, signing PINs and bank details passwords secure and confidential, and for all activity under Client's account, whether or not authorized by Client.
  • Company cannot see or recover Client's bank details password. If it is lost, Client must enter its bank details again.
  • Client must notify Company immediately of any suspected unauthorized access. Company is not responsible for any loss caused by a shared, stolen, guessed or compromised sign-in, email account, device, PIN or password.
  • Company's staff may access Client's books to provide support, perform services Client has purchased, maintain or secure the Services, prepare or send tax documents, or as required by law. Staff access is recorded in Client's activity log.

9. Client Data

  • Ownership. As between the parties, Client owns Client Data. Client grants Company a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, back up and display Client Data as needed to provide, secure, support and improve the Services and to comply with law.
  • Aggregate data. Company may create and use data that is aggregated or de-identified so that it does not identify Client or any individual, for any lawful purpose, during and after this Agreement.
  • No sale. Company does not sell Client Data.
  • Authority over personal information. Client represents that it has every right, consent and notice required by law to enter, store and use personal information about its employees, contractors, customers, vendors and others in the Services, and that doing so does not violate any law or agreement.
  • Sensitive numbers. Social Security numbers, taxpayer ID numbers and bank account numbers are stored in sealed form and shown only with a PIN. Client must not enter such numbers anywhere else in the Services, such as notes, memos or attachments.
  • Backups and loss. Company backs up the Services but does not guarantee that Client Data will never be lost, corrupted or unavailable. Company's only obligation for lost or corrupted Client Data is to make reasonable efforts to restore it from Company's most recent backup.
  • Security incidents. Company uses commercially reasonable safeguards but does not guarantee that the Services or Client Data are secure from all threats. If Company learns of unauthorized access to Client Data, Company will notify Client as required by law.

10. Client's responsibility for accuracy

  • Client is solely responsible for the accuracy, completeness, timeliness and legality of all Client Data, and of every setting, rate, account number, tax ID, category, rule and choice in Client's books, whether entered by Client, a User, Company at Client's request, an import, a bank feed or an automated feature.
  • Client must review all transactions, categorizations, reconciliations, reports, forms, paychecks, calculations and other output of the Services before relying on, printing, sending, filing or paying anything. Client's approval, printing, sending, filing or use of any output is Client's confirmation that Client has reviewed it and accepts it.
  • Company relies on Client Data without verifying it and has no duty to detect errors, omissions, fraud or irregularities in it.

11. Payroll

  • What the Services do. The Services calculate paychecks, withholding and employer taxes from Client Data, print paper paychecks and pay stubs, track what Client owes each tax agency and when, send reminders, and prepare Forms 941 and 940, state reports, W-2s and W-3s for Client to review and file.
  • What Company does not do. Company does not pay employees, does not offer direct deposit, does not make tax deposits, does not file any return, report or form, and does not represent Client before any agency.
  • Client is the employer. Client is solely responsible for all employer obligations, including paying wages on time, withholding and depositing taxes, filing every return and form on time, classifying workers correctly as employees or contractors, Forms W-4 and I-9, new-hire reporting, wage and hour laws, overtime, breaks, paid sick leave, paid family leave, workers' compensation, unemployment insurance, retirement program obligations, garnishments, and record keeping.
  • Taxes are Client's responsibility. Client is solely responsible for how its taxes are set up and entered in the Services, including tax IDs, rates, deposit schedules, filing frequencies and employee withholding elections, and for every amount Client pays or files. Company is not responsible or liable for any tax, penalty, interest, assessment, fee or other amount owed by Client or its employees, including any resulting from a calculation, rate, form, reminder, due date or other output of the Services, or from any error, delay or failure of the Services.
  • Rates and rules. Tax rates, wage bases and rules in the Services may be estimates and may not reflect changes made by any agency. Client must confirm every rate and rule against the agency's own notices and update the Services when an agency issues a new notice.
  • Review before printing. Client must review hours, pay rates, gross pay, withholding, deductions and net pay before approving any payroll or printing any check. Approving a payroll is Client's confirmation that it is correct.
  • Corrections. If Client finds an error in how the Services calculate something, Client should report it, and Company may correct the software. Correcting the software is Company's only obligation. Amended returns, corrected forms and payments to employees or agencies are Client's responsibility.

12. Checks, signatures and bank details

  • Only persons authorized by Client to sign checks may add a signature to the Services. By adding a signature, the signer represents that they are authorized and adopts it as their signature on checks printed from the Services, and Client is bound by every check printed with it.
  • A signature prints only after the signer approves the check run with their signing PIN. Client is responsible for every check run approved with a signer's PIN.
  • Client is solely responsible for its bank details, check stock, printer, MICR toner, the custody of blank and printed checks, and reconciling its bank account. Company recommends that Client use positive pay or similar fraud protection offered by its bank.
  • Company is not liable for any loss arising from checks that are printed, altered, forged, stolen, lost, duplicated, misdirected or fraudulently presented, from incorrect bank details, or from any PIN, password or signature that is shared, stolen or compromised.

13. Taxes, filings and no professional advice

  • The Services may track, estimate and prepare sales tax, business and occupation tax, payroll tax, income tax set-asides, 1099s, W-2s and other worksheets and forms. Client, or its tax professional, is solely responsible for reviewing, completing, signing, filing and paying them on time.
  • Nothing in the Services, in any communication from Company, or in any help article, video, report, summary, reminder or support response is legal, tax, accounting, financial, investment, employment or other professional advice, and no professional relationship is created. Client should consult its own qualified professionals before making decisions.
  • Company is not responsible for any tax, penalty, interest or other consequence of any filing, payment, failure to file or pay, late filing or payment, or position taken by Client.

14. Bookkeeping services

  • If Client purchases a bookkeeping package or catch-up work, Company will categorize transactions and reconcile the accounts covered by the package, review Client's books monthly and send a summary report, based solely on the information Client provides and the Third-Party Services Client connects.
  • Bookkeeping services are not an audit, review, compilation or examination, are not tax preparation, do not include an opinion or any form of assurance, and are not designed to detect fraud, theft, errors or illegal acts. Client is solely responsible for its internal controls, safeguarding its assets, and its business decisions.
  • Client must provide complete and accurate information, statements, receipts and answers when requested. Company is not responsible for delays, errors or omissions resulting from missing, late or inaccurate information.
  • If Client's transactions or accounts exceed the package's limits, Company may charge for the appropriate package after notifying Client.

15. Payments, bank connections and third parties

  • Customer payments. Card and bank payments from Client's customers are processed by Stripe under Stripe's terms and paid out to Client by Stripe. Company is not a party to those payments and is not responsible for any payment, refund, dispute, chargeback, hold, reserve, fee or failure by Stripe or any bank.
  • Leah Books payments. If Client sets up a money account to pay vendors from the Services, the money is held by Stripe and its bank partner, not by Company. Every payment Client sends or schedules, including its amount, date, payee and payee's bank details, is Client's instruction and responsibility, and a payment that has been sent may not be stoppable or recoverable. Client authorizes Company, through Stripe, to debit Client's linked bank account for each amount Client chooses to add. Company charges $40 for each payment or deposit that is returned or bounces for any reason, added to Client's next bill. If a payment or deposit is returned after funds were spent, Client must repay the shortfall immediately, and Company may charge Client's payment method, debit its linked bank account, add it to Client's next bill, and pause payments until repaid. Vendor bank details are saved under the vendor's name; if Client renames a vendor, Client must re-enter its bank details. Company may decline or pause any payment that appears fraudulent, exceeds the available balance, or that Stripe or its bank partner will not process.
  • Bank connections. When Client connects a bank through Plaid, Client authorizes Plaid to retrieve Client's account information and send it to the Services, under Plaid's terms. Bank feeds may be delayed, incomplete or inaccurate; Client's bank statement is the official record.
  • Third-Party Services generally. Third-Party Services are provided by their own providers under their own terms. Company does not control them, makes no warranty about them, and is not liable for their availability, accuracy, security, acts, omissions, fees or changes, or for any loss arising from them.

16. Automated and AI features

  • Some features, such as reading receipts, suggesting categories and rules, matching transactions, and drafting text, are automated or use artificial intelligence. Their output may be incomplete or wrong. Client is solely responsible for reviewing and correcting any such output before relying on it.
  • Client authorizes Company to send the content needed for these features to Company's service providers to process it.

17. E-signatures, portals and communications with Client's customers

  • Documents Client sends for signature through the Services are signed electronically, and a certificate of completion records who signed and when. Client is solely responsible for deciding whether an electronic signature is appropriate and valid for each document, and for the content of every document.
  • Client is solely responsible for the invoices, statements, emails, documents and messages Client sends to its customers, employees, contractors and vendors through the Services, and for complying with all laws that apply to them, including consumer protection, collection, privacy and anti-spam laws.
  • Client is responsible for inviting the right people to its customer and employee portals and for what it publishes there.

18. Acceptable use

Client and its Users shall not, and shall not allow anyone to:

  • use the Services for anything unlawful, fraudulent or deceptive, including money laundering, tax evasion, or paying or billing any person sanctioned by the United States;
  • upload or send anything Client does not have the right to use, or that is harmful, defamatory, infringing, obscene or malicious;
  • access or attempt to access any other client's books or data, test, probe or circumvent any security measure, or interfere with the Services;
  • copy, modify, reverse engineer, decompile, scrape, resell, sublicense, frame or build a competing product from the Services;
  • share sign-ins, or use one account to serve multiple businesses or to avoid Plan limits.

19. Suspension and termination

  • Company may suspend or terminate Client's account or any User's access, in whole or in part, at any time if Client breaches this Agreement, fails to pay, poses a security, fraud, legal or reputational risk, or as required by law or a Third-Party Service. Where practical, Company will give notice first.
  • Company may also end this Agreement for any reason with 30 days' notice, after which Client will have at least 30 days to download its data.
  • Termination does not relieve Client of any Fees owed. All Fees owed become immediately due on termination.

20. Ownership and license

  • Company and its licensors own the Services and all software, designs, text, videos, templates, trademarks and other materials in them, and all improvements to them. Subject to this Agreement and payment of all Fees, Company grants Client a limited, revocable, non-exclusive, non-transferable right to use the Services for Client's internal business purposes during the term.
  • Any suggestions or feedback Client provides may be used by Company without restriction or compensation.

21. Confidentiality

Each party will use reasonable care to protect the other's non-public information that it receives in connection with the Services and use it only for this Agreement, except information that is public, already known, independently developed, or required to be disclosed by law or legal process.

22. Disclaimer of warranties

THE SERVICES, AND ALL CALCULATIONS, FORMS, REPORTS, REMINDERS, CONTENT AND OTHER OUTPUT, ARE PROVIDED "AS IS," "AS AVAILABLE" AND "WITH ALL FAULTS." TO THE FULLEST EXTENT PERMITTED BY LAW, COMPANY DISCLAIMS ALL WARRANTIES, REPRESENTATIONS AND CONDITIONS, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, AVAILABILITY, SECURITY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. COMPANY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE OR FREE OF HARMFUL COMPONENTS, THAT ANY RATE, RULE OR CALCULATION IS CURRENT OR CORRECT, THAT ANY DATA WILL BE PRESERVED, OR THAT THE SERVICES WILL MEET CLIENT'S REQUIREMENTS OR ANY LEGAL, TAX OR REGULATORY OBLIGATION. CLIENT USES THE SERVICES AT ITS OWN RISK.

23. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUE, BUSINESS, GOODWILL OR DATA, ANY TAXES, PENALTIES, INTEREST OR ASSESSMENTS, ANY WAGES OR AMOUNTS OWED TO EMPLOYEES OR CONTRACTORS, ANY FRAUD OR THEFT BY ANY PERSON, OR ANY COST OF SUBSTITUTE SERVICES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THEIR POSSIBILITY; AND (B) COMPANY'S TOTAL LIABILITY FOR ALL CLAIMS OF ANY KIND ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICES SHALL NOT EXCEED THE LESSER OF THE FEES CLIENT ACTUALLY PAID COMPANY FOR THE SERVICES IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100). THESE LIMITATIONS APPLY TO CLAIMS IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE OR OTHERWISE, AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THEY DO NOT LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

Any claim against Company must be brought within one (1) year after the claim arose, or it is permanently barred.

24. Release

To the fullest extent permitted by law, Client releases Company from all claims, demands and damages of every kind, known and unknown, arising out of or relating to Third-Party Services, Client Data, Client's employees, contractors, customers or vendors, any tax or employment matter, any check or payment, and any use of the Services by Client or its Users, except claims that cannot be released under applicable law.

25. Indemnification

Client shall defend, indemnify and hold harmless Company from and against all claims, demands, suits, losses, liabilities, damages, judgments, settlements, fines, penalties, taxes, interest, costs and expenses, including attorney fees and costs, arising out of or relating to: (a) Client Data; (b) Client's or any User's use or misuse of the Services; (c) Client's business, including its employees, contractors, customers, vendors, payroll, taxes, filings, checks and payments; (d) any breach of this Agreement or violation of law by Client or any User; (e) any dispute between Client and any User, employee, customer, vendor or agency; and (f) any Third-Party Service Client uses. Company may choose its own counsel at Client's expense, and Client shall not settle any claim without Company's written consent.

26. Disputes, governing law and attorney fees

  • Before filing any claim, Client must give Company written notice describing the dispute and allow 30 days to resolve it informally.
  • This Agreement is governed by the laws of the State of Washington, without regard to conflict-of-law rules. Any lawsuit arising out of or relating to this Agreement or the Services must be brought exclusively in the state or federal courts located in Clark County, Washington, and each party consents to their jurisdiction and venue, except that either party may bring an eligible claim in small claims court.
  • To the fullest extent permitted by law, each party waives any right to a jury trial, and any claim must be brought individually and not as a plaintiff or class member in any class, collective or representative action.
  • Attorney fees. If Client brings any lawsuit or other legal action against Company, Client agrees to pay the attorney fees and costs of all parties involved, including the attorney of Company's choosing, as they are incurred. Each invoice for those fees and costs is due upon receipt.

27. Changes to this Agreement and the Services

  • Company may update this Agreement at any time. Company will give notice of material changes by email or in the Services at least 30 days before they take effect, unless a change is required sooner by law or for security. Client's Owner or an Admin must accept the updated Agreement to continue using the Services, and continued use after the effective date is also acceptance. If Client does not agree, Client's only remedy is to cancel before the change takes effect.

28. Electronic communications and notices

  • Client consents to receive this Agreement, all notices, receipts, statements, disclosures and other communications electronically, by email to the Owner's address in the Services or by posting in the Services, and agrees that they satisfy any requirement that they be in writing. Service, billing and security messages cannot be turned off while Client has an account.
  • Client consents to receive text messages and calls from Company and its providers at the numbers Client provides, including sign-in codes and service messages. Message and data rates may apply.
  • Notices to Company must be sent to mercedes@completelynotary.com. Notices are effective when sent.

29. General terms

  • Entire agreement. This Agreement, together with the documents it incorporates, is the entire agreement between the parties about its subject and supersedes all prior or contemporaneous statements, proposals, advertisements and agreements. No sales or support communication modifies this Agreement unless it is a signed writing by Company that expressly says so.
  • Severability. If any provision is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions remain in full force.
  • No waiver. Company's failure or delay in enforcing any provision is not a waiver of it.
  • Assignment. Client may not assign or transfer this Agreement or its account without Company's written consent. Company may assign this Agreement in connection with any merger, acquisition, reorganization or sale of assets, or to an affiliate.
  • Force majeure. Company is not liable for any delay or failure caused by events beyond its reasonable control, including outages or failures of internet, power, cloud, bank, payment or other providers, cyberattacks, labor disputes, government action, natural disasters, epidemics and acts of war or terrorism.
  • Relationship. The parties are independent contractors. Nothing in this Agreement creates any partnership, joint venture, agency, fiduciary or employment relationship. There are no third-party beneficiaries.
  • Interpretation. Headings are for convenience only. "Including" means "including without limitation." This Agreement shall not be construed against the party that drafted it.
  • Survival. Every provision that by its nature should survive termination survives, including Sections 5, 6, 7, 9, 10, 11, 12, 13, 20 through 26, 28 and 29.
  • Counterparts and copies. This Agreement may be signed electronically and in counterparts. An electronic or printed copy of the signed Agreement is as valid as an original.

30. Electronic signature and agreement

Client's signatures below, drawn in the Services, are made in accordance with the federal Electronic Signatures in Global and National Commerce Act and Washington's Uniform Electronic Transactions Act (chapter 1.80 RCW). When Client signs, the Services record the date and time, the signer's sign-in, the internet (IP) address and its approximate location, and the browser and device used, and keep a signed copy of this entire Agreement for both parties.
